You could do exhaust, but with a 400 budget, you won't be able to do a complete system (i.e. new pipe,x orh crossover,hedders, mufflers, tips, labor...), which is the best thing to do when your ready for new exhaust.

With gears, you'll probably only be able to get a ring and pinion set and not a limited slip unit, but adding a lower (#'ly higher) gear set will make a world of a difference.
+1 but also a set of junkyard 96-97 5.0 explorer heads(best flowing small block 289/302/351w head) (the 98-01 are also but require conversion headers) will be anice upgrade about 250-400$ plus the gaskets and your labor etc

Wont gain you any more horses but how about a set of subframe connecter to stiffen her up. You'll still have some $ left over too for other stuff....
