Default 07 gt shift noise

Hello all,

i own a 2007 mustang gt... with 75k miles on it. Original all around. I recently began hearing a noise while shifting from 1st to 2nd... and from 2nd to 3rd. It sounds like a grinding noise. Only when i let off the clutch and begin to accelerate. It doesnt happen when shifting from 3rd to 4th or 4th to 5th. I took it to my local ford dealership because i recieved mail about an airbag recall so i had them do a diagnoses. They are telling me it needs a new clutch flywheel and transmission which i find very hard to believe. I am leaning toward a worn out clutch, or the throw out bearing but am seeking other opinions. Any input would be appreciated.
