Default T45 Transmission noise......

I have a 99 GT 5sp, 88,000 miles on the clock, and the stock T45 transmission. Just in the last week the transmission has develped a constant gear-meshing or whining noise that seems to be coming from the transmission. It is speed-dependent - the pitch gets higher the faster the car is going, the noise goes away for the most part when the clutch is pushed in while moving (slowing down for a stoplight). If i'm shifting through the gears, the noise is there while in gear (any gear, even reverse), when I shift it into neutral the noise goes away, and when I shift it into the next or previous gear the noise gets louder even as i'm putting it in gear. And, the noise is in every gear!

I was thinking it might be an input or output shaft bearing or something not gear related. The car shifts fine, no grinds or anythng in any gear, so i'm thinking it's not any particular gear or gears. It's not the fluid level either, as I just had the fluid drained and filled a couple of weeks ago with Mobil 1 ATF. Anyone have any ideas?

The TOB is just fine, as is the clutch. It's a gear meshing/whining/howling noise, like a pair of gears that aren't meshing together properly. Ever driven next to a tractor trailer/18 wheeler while it was just getting started and heard the gearbox making that distinct noise, like you can hear the gears turning inside the gearbox at a low speed fighting the weight of the load it's carrying? That's what I hear. It starts off at a low pitch and increases pitch as speed increases, regardless of which gear i'm in. The noise goes away almost completely when I push in the clutch, especially when i'm coasting in neutral, but comes right back when i'm in ANY gear - accelerating or decelerating. Seems like it's there only when there is a load on the transmission. I've been told by a few mechanics that it's NOT the noise you get from the rear end going bad.

I'm thinking it has to do with a small problem I had earlier this year, where i'd get a grinding noise while in gear if I gave the car too much gas while the PRM's were under 1200RPM. After 1200rpm thre was no noise. I'm wondering if that was the beginning of one of the bearings going and now it's pretty much gone.

I'm sure it isn't the TOB. 2 different ford techs who test drive the car said everything clutch/tob related was fine, and everything gear/synchronizer/blocking ring/clutch pedal/etc. was fine also. They all agree it's internal but they're not sure what. I'm tryingto decide if I should have it rebuilt or just buy a rebuilt tranny and swap it myself.
