What are PI heads and intake worth off of a 40,000 mile car?

I picked up PI heads (complete), PI intake, coolant tube, and thermistat housing for $450. they were off of a 2002 with 50000 miles.

I bought complete PI heads, cams, intake manifold with polished aluminum crossover, and about $300 of gaskets to do the swap and rebuild for $750 shipped.

So to get a PI upgrade..all you need is heads and cams from a 99+ stang?? Everything else stays the same?? Will the computer send any check engine light?? Im thinking of also going PI but i wanna do the whole engine..since my current 96 already has 150k.. I could easily find a good 00-03 GT engine and just swap it..or go PI upgrade..
