its not just opinion, its a fact. his car does not have enough stuff done to it to justify a chip. ESPECIALLY one thats bought on the internet.
the only chips that are worth a damn, are the ones that are custom tuned TO your car AT a dyno shop.

ok, this is my two cents on everything...
-the mods you are going to install are good, im guessing along with the headers you are going to get a mid pipe of some kind, if you dont already have one
-i would definitely get a 65 or 70mm throttle body and a matching mass air meter
-as far as a cam, the e303 is pretty good for an off the shelf cam, obviously a custom grind is best... definitely flowtech, the link that was posted... is a good place to ask
-the AOD can handle 300hp if you just build it right, shift kit, stall converter and possibly bands and clutches, my cousin's 89 has a 347 stroker with a procharger and he has the aod, he also has a manual valve body...
-for the rear gears, 3.73's are great, i have 4.10's and i cant complain, i knew it would increase the highway cruising rpm... about 2000 at 60 mph.... just dont forget to have a speedo gear for the trans... i needed a 23 tooth, idk for sure what you would need with the 3.73's tho, there are charts out there to help you out
300 horses are possible with enough money lol, a set of injectors, 24lb, an adjustable fuel pressure regulator and 255lph fuel pump wouldnt be a bad idea once you have a good head/cam/intake set up... cant say anything bad about AFR heads... of course it would run about 1500 bucks for a set, but it would flow a lot better than the gt-40's

Go with the TrickFlow stage 1 cam over the E303. It has a broader powerband and more duration on the exhaust side to help Ford heads breathe. Also, go with Magnaflow mufflers over the Flowmasters. They flow much better. A good set of headers and High flow H-pipe will help as well.

first off the E303 cam is trash dont let anyone tell you different. actually all letter cams rnt very good. yes i have one but i basically got it for free and didnt have time to find another. look into the comp extreme energy cams.
with those mods dont hope for much over 250rwhp. i have slightly better heads and a 5spd and only make 275rwhp. that aod is going to net you less hp.
a venom chip or any chip ordered from the internet will be the biggest waste of money. a n/a setup with stock parts does not need a "chip". yes i said stock because they come stock on a production vehicle.
also you will not come close to 350rwhp with a n/a 302. the trickflow topend kit will net you close to 300rwhp.
you need some sort of stroker to make 350rwhp
why is n2o out of the question? if used properly it is perfectly safe
