If you have the complete motor and trans and the wirring and computer, simply move it all over to the 96. The motor and trans itself should bolt right up. And *** long as you have all the electronics and wirring you should be fine (im not sure the differences in that aspect between the two, no expereince with 3.8 swaps)

Don't do the computer and all.
Swap the motor, and get a modified fuel rail from Tom at Super Six Motorsports (Supersixmotorsports.com). Fuel system is return on the '96 and returnless on the 99-04 - so you'll need the custom made fuel rail to adapt the newer style heads to the older style fuel system.
If you are using the manual T5 out of the '02, it will all drop right in for you. You will have to have it tuned to get it all working together at it's best.
