I think that the headers and oil pan will fit, but the 302 heads will not. the 289/302 used 7/16" head bolts while the 351 uses 1/2" head bolts.
I don't know why you could not have the GT-40 heads machined to accept the 1/2" bolts though.
To go from 7/16" to 1/2" will only require the holes to encroach another 1/32nd of an inch furtherinto any surface.
If this can not be done I am sure someone will let us know...

the oil pan is different, some headers will fit like headmans and a few hookers, but let me tell you the difference between a 289 and a 351w is huge, I have a complete lower end 351w with everything except heads and intake, 69 block with hyd roller cam conversion and all the good stuff that was in my 67 vert with 11,000 miles I will sell for cheap I also have an edelbrock perf rpm and 750 carb for cheap too and custom pushrods for 351 or TW heads...........I have a 408 ready to go in so its just sitting in my garage PM me if you are interested............

If the heads fit, then the exhaust will fit. however the 351 deck heigh is raised by 1" over the 289, so the header clearance to things like steering and gearbox may be compromised. Have a look under the car and inagine moving the headers up and out by 1" and see how it looks.

absiolutly, the 351w uses its own pan and gasket, check the gasket and pan listings and you will see. Here are the differences, 351w uses a different oil pan, oil pump, inake manifold, distributor and shaft than the 289-302 cams/lifters will interchange but the 351w shares the firing order as the 5.0 but 289-302 cams can be used by changing firing order, all 351w's use a 28 oz balancer like pre 82 289-302's, 94 up 351w's can use factory style 5.0 roller cams and lifters, 69 C90E blocks are the strongest but have a shorter 9.48 deck height. All other gaskets, timing covers,timing chains, fuel pumps,water pumps will interchange but year specific, any sm blk trans and flexplate will fit as long as its 28 oz balance, you can use your 289 fp , tq converter and c-4 trans even trans diptube fits, motor mounts are the same and you CAN adapt all your 289 accesories to fit the 351w if you use the 351w adapter and cut it down and heli coil it, I know for a fact that hedman headers for a 69-70 351w fit perfect in a 67 w/ 351w, there are also shorty swap headers made, the 289 hipo manifolds also fit fine, 289 try y headers do not fit as they hit the steering box and the subframe.
The performer,torker 2, performer rpm and stealth will all fit under the stock hood with a drop base air cleaner, air gap and victor wont. You may want to get 68 up frame mounts and motor mounts as the 67 uses unique motor mounts and are very expensive.
If you are using a monte carlo bar get the curved one for the cobra air cleaner as the dist will hit the straight one. That is all the differences in the 351w swap in a 67...............but it is way worth it. I have run numerous cam/intake/head combos on the 351w and the most potent "budget" combo I ran was:
69 block, 9.1.1 comp, ported C9oE heads with chevy 194 160 valves, comp cams 268h cam, hedman headers 1 5/8", edelbrock rpm and a holley projection 670 cfm 2bbl projection analog TBI, jacobs ignition. It ran killer and got 19 mpg HWY I turned low 13 @ 104 with 3.00 gears with the C4. and would pull almost 80 mph in 1st gear. I switched to a roller cam, smaller than the hyd cam but more lift( right before the smog exempt for my car) added a lentech AOD and a projection DI EFI and twisted wedge heads which dropped compressin a bit and went a little quicker and got 22 mpg and broader torque curve.
