take a pic of the CAI, if it has a 90* bend then your right it wont, it should have a nice little 45*ish bend it in from the MAF to the TB which was changed in 01 when they redid the upper intake and got 3 more HP and 5 more ft.lbs, the difference between the 3.8 and the 3.9 (really a 3.825L) is just a slightly longer stroke because ford wanted to get rid of the bad rep of headgasket failure that has stuck with the 3.8 even though it was fixed in mid way 96. autobadges has great customer service if something is wrong, but i think its more of the it says 3.8 it automatically wont fit thing
The MAF bolts to the turned pipe and you use the blue hose to CLAMP the other pipe to it..its how ALLLLL MAC CAI's or any intakes for that matter are installed

Yes, take the MAF out of the black case. The flanged part of the lower tube (the one that insets into the fender well) bolts to the flanged portion of the MAF with 4 bolts and nuts. I personaly like to use some black permatex to make a nice gasket between the MAF and fender portion of the CAI. The BLUE tube connects to the rounded end of the MAF with the supplied (I assume) hose clamp. It's pretty darn simple. Just make sure the MAF is at a 90 degree angle to the bottom of the car. Don't forget to plug the MAF back in and you should be all set.
