1996 5.0/3.8 engine swap
Ive got a 96 convert. with a 3.8 that recently blew up and Im wanting to drop in a 5.0/auto in it, Im gettin rid of all the computers and going carburated. I know I need to change out the rear end and the radiator and add a fuel pressure reg. The 5.0 is the complete package from a early 90's (90-93) cobra (motor mounts, power steering, air conditioning etc. etc.) but it wont stay stock, anyone see any other problems other than the rearend?

There is a LOT more you need to swap out to make it work right. Get in the V6 section and do a quick search, you'll see what I mean. Front suspension, gauge cluster and many other things need to be considered.

Well... I just got off the phone with Ford Proformance Tech and they said, again just change the rear end, which I found a 8.8 out of a 96' for 225$ and the radiator. the guy said that the 95's had the 4.9l and the front end should hold up, and that I wouldnt have to worry about the K member or anything else.. they should know shouldnt they? lol and why the gauge cluster?

4.9L huh? Nice.
The front shocks and springs are different between the V6 and V8 for weight reasons, you'll want to upgrade to the GT spec. V6 K member changed from the 94/95 V6 and the 96-98. Make sure you get the right motor mounts to put a 302 in the newer K member. You'll want a larger fuel pump and related as well.
Gauge cluster for V6 and V8 are different.
Going carb saves you a lot of headache, but at the same time, removing all the stock emissions stuff and putting in an older motor is illegal on a street car... I'm just throwing that out there.

Ive got the motor mounts still on the 302 from the old car. I mean the 302 and trans was given to me and its just sitting in the floor of the shop, so when this 3.8 blew I figured I might as well just use that 302 and clear up some room and make my car run a lil better.
