Will i take em or lose em?
Ok this is how my car is going to be at its a 1979 ghia 2.8L v6 3 speed auto, carb.
Comp cam 232/294-2-10(3000-6500) rpm
ported intake- removed the casting flaws..... and maybe a bit more
stock carb- for now, A little low in the $$$
Do you think i will beat a 2004 v6 mustang? or hold with the carb 5.0? with a auto? If not i guess i am getting a diffrent carb and maybe a 100 shot.

It depends if the 04 is modded any. You've done some work to the 2.8..so it's probably gonna be a drivers race either way. Sooooo... Race him and let us know.
My sister in law had a 78 or 79 Capri with the 2.8 and a manual. It was pretty quick stock.

From what I read he has a cam and a ported intake. Assuming he means the mustang ghia he started off with 110(i think) hp and prolly around that TQ. He would need to almost double his power with two mods to win this one
just for reference Offenhauser make and intake for that peepee 2.8 cologne engine
i'd bet with the mods you list it might run high 15's and would give a stock 99+ some good racing
