Default Swap motor..is this a fair deal?

So, ive been contemplating buying a crate motor for quite some time now, or rebuilding my current motor because i certainly do want something faster than the stock 302. A friend of mine was going to help me (for a charge obviously) either swap my motor for a crate or rebuild my upper (heads, intake, cam) whichever i wanted. He recently called me up and suggested that we swap motors for some extra cash as well. His motor is a 331 stock block, very large cam (600+ lift i think) edelbrock rpmII intake, all forged inernals, able to withstand 500hp (although it is stock block so probably not). Currently his motor is running 330rwhp. Anyways, id like to know someone's opinion on this..trading my motor which runs fine, just needs rear main seal replaced, and 3,000 cash for his motor which has 5,000 miles on it..is that a fair trade? He obviously has WAY more than 3k into it, but thats the number he mentioned so i thought id run with it. Thank you, any input is appreciated!

may not be a bad deal if it has life left in it and hasn't been raced alot

yeah, well no maf i will have to get the conversion for that because i have a speed density. I will also probably be adding a 75 shot so i will literally bolt in the motor and have it towed to a tune shop and have them tune it for the new motor and nitrous. I'm guessing that will be another $1000? To install nitrous and tune it. I wud think that motor for 3k is an awesome deal no? The way i see it...he paid like 2000 for the heads alone lol, considering I would be junking my current 302 anyway if i got a crate..whats the difference if he took it instead of me junking it. i figure me spending $5000 plus shipping plus labor for a crate 302 that runs around 340hp w/out intake is a terrible idea compared to a built 331 (yes no 12k mile warranty, but i know this motor was cared for, only dragged one time) pulling 360rwhp currently (plus 75shot on top of that).
