Adobe's online store currently will let you upgrade to CS2 Standard (which has photoshop, illustrator, indesign, etc) from any previous legal version of Photoshop for $499. It's only in their store you can't buy the box retail anywhere. I purchased Photoshop 5.5 on eBay cheaply just so I could upgrade.

C22 Premium (which has additionally GoLive and Acrobat Pro) is not upgradable just from Photoshop. You have to have a previous version of the CS (suite, like 1.1 or something) to buy the premium upgrade. Me? I could live without GoLive and Acrobat Pro. It's worth it to buy the Standard suite.
