Correct, if he gets the entire car, it is not illegal BUT if you keep yours and just take the vin off and give him the title, your both screwed. Plus what would you do with a car that had no vin or title? If its a basket case, why not just sell him the whole car and he can use what he needs. If done correctly, neither of you would be breaking any laws.
