Noise coming from underneathe drive and passenger floorboard

I have a 97 cobra and it might be a clutch problem or a exhaust problem? any recomendations?

what kinda of noise?? grinding, thumping? when does it do it? (all the time, under accel, bumps)? need more info....

Its like a Grind and a thunp and it happens at decceleration
